Job Description:-            

An articulate person with excellent drafting and negotiation skills, who enjoys the process of learning, and ever ready to take up a challenge. We are looking for a person with a strong work ethic, who understands commercial contracts and is able to balance legal constraints with commercial objectives, works with speed without compromising quality and has strong interpersonal skills as this role would be required to interface with stakeholders at all levels across the organization.

G&B was founded in 1897 and is a diversified conglomerate with consumer facing businesses in Security, Appliances and Furniture. The business and Government servicing businesses include Aerospace, Precision Engineering, Process Equipment, Logistics and Warehousing, Material Handling, Power transmission and Construction Materials.

 

The main skill sets for this role include:

1.            Mergers & Acquisitions

             To do due diligence (and consult with any external agencies as per the inputs/guidance from co-ordinator) of any proposed Merger & Acquisition transaction and to draft Investment Agreements/Joint Venture Agreements to govern such transactions.

             To draft, review, negotiate and finalize contracts including JV agreements, Technology Transfer Agreements, cross border agreements, M&A agreements (Share Purchase, Business Transfer etc.)

2.            Securities Laws

             To apply securities laws including SEBI regulations applicable in securities trading, stock exchange regulations and FEMA regulations which govern external trade and the balance of payments.

3.            Contract Review

             To draft, review, negotiate and finalize of all commercial contracts including but not limited to JV agreements, technology transfer agreements, international agreements, M&A agreements, government tenders, contract with vendors, clients, employees for all the business units etc.

             To standardize model contracts for each type of LOB/industry as appropriate.

4.            Risk Mitigation

             To identify key commercial and legal risks to the business and assist business in preparation of a plan to mitigate the identified risks.

             To create and enhance the knowledge management system with learnings, model terms, onerous provisions to be avoided etc.;

5.            General Advisory

             To advise business on sale of goods/transfer of property/competition law/environment/ cyber/packaging/Ecommerce and general corporate law matters;

             To respond to various government notices and queries;

             To assist business teams at pre-dispute stage to amicably resolve the issues.

6.            Learning and Development

             To promote legal awareness and conduct trainings;

             To update businesses on key regulatory changes that would affect commercial transactions;

             To provide training sessions/workshops to the divisions on the SOPs and on the negotiation of important legal provisions such as limitation of liability and indemnity clauses.

 

Requirements:

  • Years of Experience- 3-6 years
  • Strong communication skills and must have handled atleast 1-2 mergers independently. Must be well versed with the full process.
